Effective August 25, 2023, Ms. Qiao Yanan has retired from her position as Joint Secretary of the company due to a job change. After her retirement, Ms. Qiao no longer holds any positions in the company and its subsidiaries. The Board of Directors has announced the appointment of Mr. de Sen as Joint Secretary of the Company effective August 25, 2023.
Mr. Du’s biographical details are as follows: Mr. Du Sen, aged 29, joined the group in April 2023 and has been the Group’s Capital Markets Director since then. Prior to joining the group, Mr. Du held the position of Senior Investment Manager at Hitone Capital from August 2021 to April 2023. He also worked as an architect and project manager at China Architectural Design and Research Group from August 2017 to August 2021.
Mr. Du obtained a Bachelor’s degree in Architecture, a dual Bachelor’s degree in Economics and a Master’s degree in Architecture from Tsinghua University in Beijing, China, in July 2015, July 2016 and July 2017 respectively, bearing in mind that Mr. Du has extensive experience in the field of architecture. Dealing with investments and financing as well as project management, familiar with the activities and operations of the company and its subsidiaries, and has a multidisciplinary educational background in economics, finance and engineering, the company believes that the appointment of Mr. Du as joint company secretary is in the interest of the company and its shareholders as a whole. Since Mr. Du does not currently hold the relevant qualifications required under Rule 3.28 of the Listing Rules for Securities of the Hong Kong Stock Exchange Limited (“HKEx”) (“Listing Rules”), the Company has applied for, and granted HKEx Kong recently waived strict compliance with the requirements set forth in Rules 3.28 and 8.17 of the Listing Rules.
Mr. Du’s release period is three years from the date of his appointment as joint secretary of the company (ie, from August 25, 2023 to August 24, 2026, the “release period”). Ms. Chu Cheuk-ting will continue to serve as another joint secretary of the company. During the assignment period, Mr. Du will carry out his duties jointly with Ms. Zhou, both of whom are joint secretary of the company.
Ms. Chu’s CV details are as follows: Ms. Chu was appointed as one of the company’s joint secretaries in February 2022. Ms. Chu is currently Director of the Listing Services Department of TMF Hong Kong Limited and is responsible for providing corporate secretarial and compliance services to clients of listed companies. Ms. Chu has over 12 years of professional business secretarial experience.
It is an associate member of the Chartered Institute of Governance of Hong Kong and the Chartered Institute of Governance of the United Kingdom. Ms. Chu is currently the Secretary/Joint Secretary of the Company.
