The Board of Directors of GUSHENGTANG HOLDINGS LIMITED announces that effective August 21, 2023, Mr. Xu Yongjiu (“Mr. Xu”) has resigned from his position as Non-Executive Director due to a change in working arrangements. The Board of Directors hereby announces that Ms. Xie Xiaoping (“Ms. Xie”) has tendered her resignation as Joint Company Secretary (“Joint Company Secretary”) effective August 21, 2023 due to a change of position within the Group. The Board of Directors also announced that Mr. Yu Peng (“Mr. Yu”), the legal director of the company, has been simultaneously appointed as Joint Company Secretary to replace Ms. Xie effective August 21, 2023. Ho Yin Kwan (“Ms. Ho”), who fulfills Subject to the requirements under Rules 3.28 and 8.17 of the Listing Rules for Securities on the Exchange (the “Listing Rules”), the other Joint Company Secretary currently present, will continue to act as Joint Company Secretary and continue to perform and carry out the duties of the Company Secretary under the Listing Rules. Mr. Yu, 34, is the legal director of the company. Mr. Yu joined the group in August 2021 and has since held the positions of Deputy Legal Director and Legal Director respectively, mainly responsible for regulatory compliance, board affairs and corporate governance of the group. Prior to joining the group, Mr. Yu worked as a Partner at Grandall Law Firm (Guangzhou) from June 2015 to October 2019 and King & Wood Mallesons (Guangzhou) from November 2019 to July 2021. He has had systematic training in law since September 2008 and has a master’s degree in Law in June 2015 from Xiamen University. Passed the National Judicial Examination of the People’s Republic of China and obtained his professional legal qualification in September 2012. Ms. Hu was appointed as one of the joint company trustees on July 5, 2022. Ms. Hu is the Vice President of SWCS Corporate Services Group (Hong Kong) Limited. She has over 20 years of professional experience in corporate secretarial services and has provided corporate secretarial services to both listed and private companies in Hong Kong and overseas. Ms. Hu holds a Bachelor’s degree in Business Administration and Finance from
University of Portsmouth and a master’s degree in corporate governance from the Open University of Hong Kong (today known as Hong Kong Metropolitan University). Ms. Hu is a member of the Hong Kong Chartered Institute of Governance and the Chartered Institute of Governance in the UK.
